1. Acceptance of Terms

By accessing my website (usmantalib.com) or engaging my services as a freelance developer, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use my website or services.

2. Services Provided

I, Usman Talib, provide professional software development services, including but not limited to:

• Custom Web Application Development (React, Next.js, Node.js)
• WordPress Theme and Plugin Development
• SaaS Architecture and MVP creation
• Technical Consulting and Code Audits

The exact scope, timeline, and deliverables for any project will be outlined in a separate Statement of Work (SOW) or freelance contract (e.g., via Upwork or direct agreement) before any work commences.

3. Client Responsibilities

To ensure successful project delivery, the client agrees to:

• Provide clear requirements, assets, and timely feedback during the development lifecycle.
• Ensure they have the legal right to use any images, text, or third-party code provided to me for integration.
• Respond to queries within a reasonable timeframe to prevent project delays.

4. Payment Terms

Unless contracted through a platform like Upwork (which governs its own payment escrow), direct contracts require a standard payment structure:

• An upfront deposit (typically 30% to 50%) is required before development begins.
• The remaining balance is tied to predefined milestones or payable upon project completion before the final source code is handed over or deployed to production.
• All invoices are due within the timeframe specified on the invoice (typically 7-14 days).

5. Intellectual Property Rights

Upon full and final payment, all intellectual property rights to the custom code, designs, and deliverables created for your project will be transferred to you.

I reserve the right to showcase the completed project in my portfolio, case studies, or social media for promotional purposes, unless a Non-Disclosure Agreement (NDA) has been signed explicitly preventing this. I retain the rights to any pre-existing, open-source, or generic boilerplate code used across multiple projects.

6. Limitation of Liability

While I strive to deliver bug-free, high-quality code, software development inherently involves unforeseen complexities. I shall not be held liable for any indirect, incidental, or consequential damages (including loss of profits, data, or business interruption) arising out of the use or inability to use the developed software. My total liability for any claim arising out of the services provided shall not exceed the total amount paid by the client for the specific project.

7. Termination

Either party may terminate a project agreement at any time with written notice. In the event of termination by the client, I shall be compensated for all work completed up to the date of termination, billed at an agreed-upon hourly rate or proportional milestone value. Any upfront deposits covering work already performed are non-refundable.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of Pakistan. However, I respect and comply with international regulations (such as GDPR) when serving global clients.
